Agreement to Our Terms

We are Purp Capital Co Inc. ("Company," "we," "us," "our"), a company registered in Delaware, United States at 8 The Green, Dover, DE 19901. We operate the mobile application REPS (the "App"). You can contact us by email at support@gotreps.app.

These Legal Terms constitute a legally binding agreement made between you and Purp Capital Co Inc. concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to make changes to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date. The Services are intended for users who are at least 13 years of age.

1. Exercise Safety and User Responsibilities

You expressly acknowledge and agree that all fitness and exercise activities carry inherent risks of physical injury. By using the Services, you agree to the following:

• Health Clearance: You should obtain clearance from a qualified healthcare provider before beginning any new exercise program.
• Safe Environment: You agree to exercise in a safe environment with adequate space, proper flooring, and good lighting.
• Listen to Your Body: Stop immediately if you experience pain, dizziness, or physical discomfort.
• Assume All Risk: You acknowledge that you are voluntarily participating in these fitness activities, assume all risk of injury to yourself, and agree to release and discharge Purp Capital Co Inc. from any and all claims or causes of action known or unknown, arising out of your use of the Services.

2. Subscriptions

• Billing and Renewal: We offer subscriptions that auto-renew. Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis until you cancel.
• Free Trial: We offer a 7-day free trial to new users. Your account will be charged according to your chosen subscription plan at the end of the free trial unless canceled before the trial period ends.
• Cancellation: You can cancel your subscription at any time by managing your subscriptions in your Apple App Store account settings. Your cancellation will take effect at the end of the current paid term.
• Fee Changes: We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

3. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which is posted on the App and on our website. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

4. Mobile Application License

(This section contains the mandatory EULA terms required by Apple)

Use License: If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms.

Additional Terms for Apple App Store

The following terms apply when you use the App obtained from the Apple App Store:

• Acknowledgement: You and the Company acknowledge that these Legal Terms are concluded between you and the Company only, and not with Apple Inc. ("Apple"). The Company, not Apple, is solely responsible for the App and the content thereof.
• Scope of License: The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance and Support: The Company is solely responsible for providing any maintenance and support services with respect to the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• Warranty: The Company is solely responsible for any product warranties. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.
• Product Claims: The Company, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, regulatory requirements, and consumer protection claims.
• Intellectual Property Rights: In the event of any third party claim that the App infringes intellectual property rights, the Company, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal Compliance: You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Legal Terms and have the right to enforce these Legal Terms against you.

5. Governing Law

These Legal Terms shall be governed by and defined following the laws of the State of Delaware, United States.

6. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

7. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

8. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; or (3) your violation of the rights of a third party.
